Franchisee Responsibilities:

FRANCHISE AGREEMENT

This Franchise Agreement (“Agreement”) is made and entered into on this [Date] day of [Month], [Year], by and between:

**Achinta Ananta & Sons Private Limited (AASPL)**, a company incorporated under the Companies Act, 1956, having its registered office at [Registered Address], herein referred to as the “Franchisor” which expression shall unless it be repugnant to the context or meaning thereof be deemed to mean and include its successors and permitted assigns;

**Parikshit Enterprise**, a proprietorship firm having its office at [Registered Address], herein referred to as the “Franchisor” which expression shall unless it be repugnant to the context or meaning thereof be deemed to mean and include its successors and permitted assigns;

and

**[Franchisee Name]**, an individual/company/partnership firm having its address at [Franchisee Address], herein referred to as the “Franchisee” which expression shall unless it be repugnant to the context or meaning thereof be deemed to mean and include its successors and permitted assigns.

### RECITALS:

WHEREAS, the Franchisor owns and operates a successful business under the brand names “Digitech Unicorn” and “Omcrafts” (collectively referred to as “Brands”);

WHEREAS, the Franchisor wishes to expand its market presence by granting a franchise to the Franchisee to operate a Brand Store under the said Brands;

AND WHEREAS, the Franchisee is desirous of operating a Brand Store under the said Brands and is willing to undertake the obligations as set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:

### 1. GRANT OF FRANCHISE

**1.1** The Franchisor hereby grants to the Franchisee, and the Franchisee accepts, the right to operate a Brand Store under the Brand names “Digitech Unicorn” and “Omcrafts” (the “Franchise”).

**1.2** The Franchisee will also offer the following services under the Brand names “Digitech Unicorn” and “Omcrafts”:

### 2. FRANCHISE FEE AND PAYMENTS

**2.1** The Franchisee shall pay to the Franchisor a one-time franchise fee of ₹50,000/- (Rupees Fifty Thousand Only). Out of this, ₹35,000/- (Rupees Thirty-Five Thousand Only) is refundable in the event of termination of the agreement.

**2.2** The fee shall be utilized as follows:

1. ₹15,000/- for signage boards and marketing promotion.
2. ₹35,000/- for providing products to be displayed by the Franchisee in the Brand Store.

### 3. TERM AND RENEWAL

**3.1** This Agreement shall commence on the date first written above and shall continue for a period of 5 years, unless terminated earlier in accordance with the provisions of this Agreement.

**3.2** The Franchisee may apply for renewal of the franchise term 3 months prior to the expiration of the initial term, subject to mutual agreement on terms and conditions at the time of renewal.

### 4. PRODUCT DISPLAY AND RETURN

**4.1** The Franchisee shall display the products provided by the Franchisor worth ₹35,000/- in the Brand Store.

**4.2** Upon termination of this Agreement, the Franchisee shall return the products to the Franchisor and shall be entitled to a refund of ₹35,000/-.

### 5. PREMISES AND RACKS

**5.1** The Franchisee shall operate the Brand Store from a premises having a minimum space of 100 sq. ft.

**5.2** The Franchisee shall arrange for racks as per the specifications provided by the Franchisor.

### 6. MANPOWER

**6.1** The Franchisee shall provide one or two manpower for all work related to the Brand Store. The salary for the provided manpower shall be borne by the Franchisee.

### 7. PRICING AND SALES

**7.1** The Franchisee shall sell the products at prices determined by the Franchisor from time to time.

**7.2** The Franchisee shall transfer full payments to the Franchisor at the end of each day or by 11 am the next day.

### 8. PAYOUT AND COMMISSIONS

**8.1** The Franchisor shall provide the payout to the Franchisee on the 15th of every month.

**8.2** Commissions per product and customer category shall be determined by the Franchisor.

### 9. OTHER OBLIGATIONS

**9.1** The Franchisee shall bear the cost of electricity, rent, and any other expenses related to the operation of the Brand Store.

**9.2** The Franchisee shall maintain a software for record-keeping, provided by the Franchisor, priced at ₹5000/-. This software shall be renewed every year.

**9.3** GST registration under the composite scheme is required by the Franchisee.

**9.4** The Franchisor shall promote its business from time to time. However, the Franchisee may undertake marketing and promotional activities at its own cost, subject to prior approval from the Franchisor.

**9.5** In addition to commissions, the Franchisor will launch exclusive offers and contests from time to time to boost business.

### 10. TERMINATION

**10.1** This Agreement may be terminated by either party by giving [Number of Days] days written notice to the other party.

**10.2** In the event of termination, the Franchisee shall return all products provided by the Franchisor and shall be entitled to a refund of ₹35,000/-.

### 11. CONFIDENTIALITY

**11.1** The Franchisee agrees to maintain the confidentiality of all proprietary information provided by the Franchisor and shall not disclose such information to any third party without the prior written consent of the Franchisor.

### 12. DISPUTE RESOLUTION

**12.1** Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiations. If such dispute cannot be resolved within [Number of Days] days, it shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

### 13. GOVERNING LAW

**13.1** This Agreement shall be governed by and construed in accordance with the laws of India.
